The buyer can enforce a legally binding contract against you if you refuse or otherwise fail to fulfil your obligations under the contract. Indemnity In consideration for idirect Sales & Services Pty Ltd making its on-line trading system available to you, the seller, you agree to indemnify, and hold harmless idirect Sales & Services Pty Ltd from and against any and all costs, losses, liability, claims and/or damages which idirect Sales & Services Pty Ltd. incurs and/or suffers as the result of you, the seller, failing for any reason to fulfil and/or perform your obligations under any contract and/or agreement you have concluded or may conclude with a buyer of your goods. This indemnity includes but is not limited to any costs, loss, liability, and/or damages arising out of any claim brought against idirect Sales & Services Pty Ltd by any buyer, or other party, by virtue of making its on-line trading system available to you, the seller. 4. Acceptance If you decide to proceed with posting your offer to sell goods, the following Conditions of Contract will apply. DEFINITIONS An "advertisement" will include any online service published, produced and/or generated by the publisher, idirect Sales & Services Pty Ltd (hereinafter called "ISS"). 2. IMAGES An advertiser must submit its own images for the advertisement. Images provided by the advertiser are subject to ISS's approval and must follow ISS's advertising layout guidelines. 3. AMENDMENTS Images and content may be amended at any time during the posting period. Any and all changes are subject to ISS's approval. 4. VALIDITY ISS will post an advertisement when all materials and payment are received and the advertisement has been approved. ISS further reserves the right to refuse to post an advertisement, or to cancel the agreement and remove the advertisement at any time, without giving a reason thereof. 5. NOTIFICATION Advertisers may be notified by email when products have been posted, and are encouraged to visit PriceNet.com.au Online to verify their posting. 6. LIABILITY ISS's liability will not exceed the charges for the advertisement in question. ISS assumes no liability if for any reason it becomes necessary to reject or omit an advertisement, and assumes no liability for errors or omissions made in text, layout, color or placement of an advertisement. Though every care will be taken, ISS accepts no responsibility or liability for damage to or loss of photographs, diskettes, or other materials submitted for the advertisement. 7. INFRINGEMENT The advertiser warrants that the contents of the advertisement do not violate or infringe upon any intellectual property right or rights held by others, including graphics and other designs deemed unique and with copyright; and that it has the right to publish the contents thereof. In consideration of ISS posting the advertisement, the advertiser agrees to indemnify, defend, and save ISS harmless from any and all liability for the contents (including but not limited to graphic images, text, illustrations, representations, sketches, maps, trademarks, brand names, logos, labels, graphics, software or other copyrighted matter) of advertisements, or the unauthorized use of any person's name, or still image, arising from ISS's posting of such advertisements pursuant to the advertiser's instructions. 8. CANCELLATION OR TERMINATION Advertisers agree to the posting of their advertisement for a minimum period of thirty (30) days, once an advertisement has been placed online. 9. PAYMENT All advertisers are required to pay for each advertisement in advance. 10. LEGAL EXPENSES The advertiser agrees to bear all legal expenses including attorney's fees that may be incurred by ISS relating to any claims or demand made by third parties caused by the posting of the advertisement on behalf of the advertiser; violation of these Terms and Conditions by the advertiser; or infringement by the advertiser of intellectual property rights or other rights or claims asserted by third parties. 11. INFORMATION The advertiser agrees that ISS, or the sales office of its local representative, may from time to time, send the advertiser by e-mail or other means, news and other information and updates regarding ISS or ISS's publications and services. 12. UNSUITABLE PRODUCTS AND MATERIALS ISS will not post advertisements that are deemed by it to be obscene, pornographic, disparaging of ISS or its products and services; or to be otherwise in poor taste; nor will ISS post advertisements whose purpose is to encourage unlawful or inappropriate activities or behavior in others. 13. ADVERTISING RATES Advertising rates are subject to change from time to time without prior notice by ISS. 14. RIGHTS TO REPRODUCE All postings prepared by ISS remain the property of ISS and may not be reproduced without the written permission of ISS. 15. DELAYS ISS will not be liable for delays in posting advertisements in the event of an Act of God, action by any governmental entity, fire, flood, insurrection, riot, explosion, embargo, strikes whether legal or illegal, labor or material or power or bandwidth shortage, transportation interruption of any kind, work slow-down, or any conditions beyond the control of ISS affecting production or delivery in any manner. 16. CONFLICTING TERMS No conditions, printed or otherwise appearing on contracts, orders or copy instructions which conflict with the conditions stated herein will be binding on ISS or take precedence over these terms and conditions. 17. PRIVACY SUPPORT NETWORK PriceNet.com.au Private Supplier Catalogs have been primarily designed to provide clients with a private and secure environment in which to store their company and product information. All clients have complete control over the access rights to their Private Supplier Catalog to view or update its contents, and may select to limit these rights to any individual or group of individuals of their choosing. (Please refer to our Transfer of Input and Edit Access for further details). As part of an ongoing data quality assurance program, PriceNet.com.au undertakes routine maintenance of the PriceNet.com.au database. PriceNet.com.au, therefore, reserves the right to view the content of all Private Supplier Catalogs and remove any material which is obscene, in poor taste and/or illegal. In addition, PriceNet.com.au will remove specific contents from a client's Private Supplier Catalog, if required to do so by law or as a result of the direction of a government entity. PriceNet.com.au will then inform the client immediately. In keeping with standard business practice, PriceNet.com.au assures all clients of complete confidentiality in respect of the contents of their Private Supplier Catalog.
